By accessing or using RubyPesa Labs' website and services, you agree to comply with and be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.

RubyPesa Labs provides the following services:

• Custom software development and consultancy
• Technology systems built in Django, Angular, Kotlin, Swift, and other technologies
• Systems administration and database administration
• Software products including Akabbo, Rotary Club Admin Portal, and SoftPesa
• Technical support and maintenance services

3. User Responsibilities

When using our services, you agree to:

• Provide accurate and complete information
• Use our services only for lawful purposes
• Respect intellectual property rights
• Not interfere with or disrupt our services
• Maintain the confidentiality of any login credentials
• Comply with all applicable laws and regulations

4. Service Agreements and Contracts

4.1 Project-Based Services

Custom development and consultancy services are provided under separate project agreements that outline specific deliverables, timelines, and payment terms.

4.2 Subscription Services

Our subscription-based products (such as Rotary Club Admin Portal) are subject to additional terms including billing cycles, cancellation policies, and service level agreements.

4.3 Changes to Service Terms

We reserve the right to modify service terms with reasonable notice. Continued use of services after changes constitutes acceptance of the new terms.

5. Payment Terms

5.1 Fees and Billing

• All fees are quoted in US Dollars or Ugandan Shillings as specified
• Payment terms are specified in individual service agreements
• Late payments may incur additional charges
• All fees are non-refundable unless otherwise specified

5.2 Subscription Billing

• Subscription fees are billed in advance on a recurring basis
• Automatic renewal applies unless cancelled before the renewal date
• Price changes will be communicated with at least 30 days notice

6. Intellectual Property Rights

6.1 Our Intellectual Property

RubyPesa Labs retains all rights to our software products, methodologies, and proprietary technologies. Our logos, trademarks, and brand elements are protected intellectual property.

6.2 Client Intellectual Property

We respect your intellectual property rights. Custom work developed specifically for you will be owned by you upon full payment, subject to our right to use general knowledge and techniques.

6.3 License to Use Our Products

When you use our software products, we grant you a limited, non-exclusive license to use the software according to the terms of your subscription or license agreement.

7. Confidentiality

We understand the sensitive nature of business information and commit to maintaining confidentiality of:

• Client business information and trade secrets
• Technical specifications and requirements
• Financial and commercial information
• Any information marked as confidential

8. Service Availability and Support

8.1 Service Availability

While we strive for maximum uptime, we do not guarantee uninterrupted service availability. Planned maintenance will be communicated in advance when possible.

8.2 Technical Support

Technical support is provided according to the terms of your service agreement. Support hours and response times vary by service level.

9. Limitation of Liability

To the maximum extent permitted by law, RubyPesa Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption.

Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim in the 12 months preceding the incident.

You agree to indemnify and hold harmless RubyPesa Labs from any claims, damages, or expenses arising from your use of our services, violation of these terms, or infringement of third-party rights.

11. Termination

11.1 Termination by You

You may terminate services according to the terms specified in your service agreement. Subscription services may be cancelled with appropriate notice.

11.2 Termination by Us

We may terminate services immediately if you breach these terms, fail to pay fees, or use services in a manner that could harm our business or other users.

11.3 Effect of Termination

Upon termination, your right to use our services ceases immediately. We will provide reasonable assistance in data retrieval subject to our data retention policies.

12. Dispute Resolution

We encourage resolving disputes through direct communication. If formal dispute resolution is necessary, we prefer mediation before litigation. All disputes will be subject to the laws and courts of Uganda.

13. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, government actions, or technical failures.

14. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15. Updates to Terms

We may update these Terms of Service from time to time. We will notify users of material changes and the updated terms will be effective upon posting to our website.
